# Terms of Service

Last updated October 14, 2026

These Terms of Service (the “Terms”) are an agreement between Reactive Intelligence Inc. (“Reactive”) and the business that uses Reactive (the “Customer”). By using the Service, the Customer agrees to them. If the Customer has a signed agreement with Reactive, that agreement takes precedence.

**In short:** use Reactive to watch for change on behalf of your business, keep your account secure, and treat Signals as information rather than advice. Your data stays yours.

## 1 The Service

Reactive watches sources of data for changes the Customer describes (“Monitors”) and delivers a notice when one happens (a “Signal”) by webhook, Slack, email or in the app. The Reactive app, API, skill, documentation and website are together the “Service”.

The Service is for business use. The Customer is responsible for the people and software agents it allows to use its account, for keeping its credentials and API keys secure, and for all activity under its account. Reactive owns the Service; the Customer receives the right to use it for its own business while its account is in good standing.

## 2 Acceptable use

The Customer chooses what to monitor and is responsible for having the right to do so. Web pages may be monitored only if they are publicly accessible without signing in. The Customer will not use the Service to:

- track, profile or surveil an individual;
- make decisions about individuals’ eligibility for credit, insurance, employment or housing, or for any purpose covered by the Fair Credit Reporting Act;
- get around logins, paywalls, rate limits or other protections on any site;
- resell the Service or redistribute the data it provides;
- copy the Service or build a competing product with it;
- break the law or anyone else’s rights.

Reactive may decline, pause or remove a Monitor that breaks these rules or that a site asks it to stop.

## 3 Signals

Signals report what third-party sources published, and those sources can be late, wrong or unavailable. Signals are information, not financial, safety or other professional advice, and Reactive does not guarantee that any Signal will be accurate, complete or delivered within a particular time. The Customer should not rely on the Service alone where a missed or late Signal could cause harm.

## 4 Plans and payment

Every account includes a monthly allowance of credits at no charge. Paid plans, described in the app and on the [sales page](https://reactive.dev/contact/sales), are billed in advance and renew automatically until cancelled. Credits reset each billing period and do not roll over.

Fees are non-refundable except as these Terms provide, and exclude taxes. If a payment is overdue, Reactive may move the account to the free allowance after giving notice. Reactive will give 30 days’ notice of any price increase.

## 5 Data

The Customer owns the data it puts into the Service and the Signals produced for it (“Customer Data”). Reactive uses Customer Data only to provide and support the Service, as described in the [Privacy Policy](https://reactive.dev/privacy). Reactive does not sell Customer Data or use it to train AI models.

Reactive may use aggregated information about how the Service is used, which does not identify the Customer or any person, to run and improve it. A data processing agreement is available on request to [privacy@reactive.dev](mailto:privacy@reactive.dev).

## 6 Cancellation and termination

The Customer may cancel at any time, effective at the end of the current billing period. Either party may end these Terms if the other materially breaches them and does not fix the breach within 30 days of notice. Reactive may suspend access immediately to stop misuse or protect the Service or others, and will restore it once the issue is resolved. After an account closes, Reactive deletes Customer Data as described in the [Privacy Policy](https://reactive.dev/privacy).

## 7 Disclaimers and liability

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or data. Each party’s total liability under these Terms is limited to the greater of the fees the Customer paid in the 12 months before the claim, or US$100.

These limits do not apply to amounts the Customer owes, to breaches of Section 2, or where the law does not allow them.

## 8 Indemnification

The Customer will defend Reactive against third-party claims arising from Customer Data, what the Customer chooses to monitor, or a breach of Section 2\. Reactive will defend the Customer against third-party claims that the Service itself infringes their intellectual property.

## 9 General

These Terms are governed by the laws of the State of Delaware, and disputes will be heard in the state and federal courts located in New Castle County, Delaware. Each party will keep the other’s non-public information confidential. Reactive may update these Terms and will give 30 days’ notice of material changes. These Terms are the entire agreement between the parties about the Service.
